Terms of Service

1. Who these terms are between

These Terms of Service (the "Terms") form a binding agreement between you (the "User", "you") and [UniMate operating entity — legal name, NIF/CIF], with registered office at [registered address], Barcelona, Spain ("UniMate", "we", "us"). They govern your access to and use of the UniMate website, mobile experience, and any related services (together, the "Service").

By creating an account, submitting the contact form, or otherwise using the Service, you confirm that you have read, understood, and agreed to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

2. What UniMate is — and is not

UniMate is an educational guidance service aimed at international students dealing with Spanish immigration and municipal paperwork in Barcelona. We publish plain-English explanations of government procedures, sample forms, checklists, and general informational content.

What UniMate is not:

• It is not legal advice. No content on the Service constitutes legal, immigration, tax, or financial advice, or a professional opinion. Reading UniMate does not create a lawyer–client, gestor–client, or fiduciary relationship.
• It is not filing or representation. We do not submit forms on your behalf, do not book appointments for you, and do not represent you before any Spanish authority.
• It is not a substitute for official sources. Procedures, forms, fees, deadlines, and appointment portals can change at any time. You are responsible for confirming current requirements with the relevant Spanish authority before you act.

3. Eligibility

You must be at least 18 years old to create an account. By registering you represent that (a) you are of legal age in your country of residence, (b) the information you provide is true and current, and (c) your use of the Service is lawful in your jurisdiction.

4. Your account

Some features require a free account. You agree to:

• Provide accurate, current, and complete information.
• Keep your password confidential; you are responsible for all activity that occurs under your account.
• Notify us promptly at info@unimate.im if you suspect unauthorised access or a security breach.
• Not create an account on behalf of another person without their authorisation, and not maintain more than one account for the same individual.

We may refuse, suspend, or terminate accounts that violate these Terms, are used to abuse the Service, or that are inactive for an extended period.

5. Acceptable use

You agree that you will not, and will not permit anyone else to:

• Use the Service to break any law, including Spanish immigration law, or to misrepresent your identity, status, or documents to any authority.
• Copy, scrape, resell, redistribute, translate, or create derivative works of any UniMate content for commercial purposes without our prior written permission.
• Reverse-engineer, decompile, or attempt to derive source code from the Service, except to the extent this restriction is prohibited by applicable law.
• Attempt to access another user's account, our administrative console, or any non-public part of the Service.
• Introduce malware, use bots to scrape content, load-test the Service, or interfere with its operation or security.
• Upload content that is unlawful, infringing, defamatory, or that includes another person's identity documents or personal data without their consent.

6. Our content and licence to you

All content published by UniMate (guides, checklists, blog posts, translations, illustrations, code, and the site design) is protected by copyright and, where applicable, by database, trademark, and other intellectual property rights. UniMate and its licensors retain all rights not expressly granted here.

Subject to your compliance with these Terms, we grant you a personal, revocable, non-exclusive, non-transferable, non-sublicensable licence to access the Service and to view, print, and share our content for personal, non-commercial use only. Any other use — including republication, framing, use in AI training datasets, or use in a paid service — requires our prior written consent.

7. User content and feedback

If you submit content to us (for example via the contact form, a "Was this helpful?" response, or a message to our team), you grant UniMate a worldwide, royalty-free, perpetual, irrevocable licence to use, reproduce, modify, and incorporate that content into the Service and our operations, including improving guides. You represent that you have the right to grant this licence and that your content does not infringe any third-party rights.

Do notsend us documents that contain another person's personal data (passport scans, TIE cards, family documents) without their prior written consent. We may delete any content that appears unlawful or that we consider inappropriate.

8. Third-party services and external links

The Service depends on third-party providers (currently: Firebase / Google Ireland Ltd for authentication, database and file storage; Vercel Inc. for hosting; our SMTP provider for transactional email delivery; ActiveCampaign LLC for newsletter delivery and customer-relationship management; and Stripe Payments Europe Ltd for payment processing on paid tiers). Their availability, terms, and privacy policies apply to their portion of the service. A current sub-processor list with the applicable Data Processing Agreements is available on request at info@unimate.im.

The Service links to Spanish government portals (Sede Electrónica, Extranjería, AEAT, Ajuntament de Barcelona and others) and to third-party sites. We do not control those sites, do not endorse their content, and are not responsible for their availability, accuracy, or terms.

9. Fees

The Compass tier — including the step-by-step guides, appointment tracker, and deadline reminders — is free to use. Optional paid tiers (Companion and Concierge) unlock 1:1 support such as team chat, scheduled online consultations, and onsite help. Prices, billing cycle, and cancellation terms for paid tiers are shown on the Services page before you commit, and your continued use of Compass will never automatically enrol you in a paid plan.

Payments for paid tiers are processed by Stripe Payments Europe Ltd, our payment services provider. UniMate does not receive or store your full card details; card data is handled directly by Stripe under PCI DSS. Stripe's terms and privacy policy apply to their processing of your payment information.

10. Availability and changes to the Service

We work hard to keep the Service available, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue all or part of the Service at any time, add or remove features, and adjust content as procedures change. Where reasonably possible, we will notify registered users of material changes.

11. Disclaimer of warranties

To the maximum extent permitted by law, the Service and all content are provided "as is" and "as available", without warranty of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or that the Service will meet your requirements or be uninterrupted, secure, or error-free.

Specifically, we make no warranty that (a) any procedure or form described on UniMate reflects current Spanish law or the current practice of any authority, (b) any government portal linked from the Service will accept your submission, or (c) using the Service will lead to the grant, renewal, or extension of any permit, visa, or residence card.

Nothing in these Terms excludes or limits any right you have as a consumer under mandatory Spanish or EU law that cannot be excluded by contract.

12. Limitation of liability

To the maximum extent permitted by law, UniMate, its founders, contributors, and service providers will not be liable for:

• any indirect, incidental, special, consequential, exemplary, or punitive damages;
• loss of profits, business, savings, data, goodwill, or opportunity;
• missed appointments, refused or delayed applications, fines, deportation orders, or any other adverse decision by a Spanish authority;
• damage caused by third-party services (including Firebase, Vercel, our SMTP provider, or any government portal);
• damage caused by content you or another user submits.

Our total aggregate liability for all claims arising out of or relating to the Service, whether in contract, tort, statute, or otherwise, is limited to EUR 50 (fifty euros) or the total fees you paid us in the twelve (12) months preceding the event giving rise to the claim, whichever is higher.

Nothing in this Section excludes or limits liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any breach of a consumer's mandatory statutory rights.

13. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless UniMate and its founders, employees, contractors, and agents from and against any claim, demand, loss, liability, or expense (including reasonable legal fees) arising out of or in connection with (a) your use of the Service, (b) your breach of these Terms, (c) content you submit through the Service, or (d) your violation of any law or of any third party's rights.

14. Termination

You may stop using the Service at any time. You may delete your account from your profile, which triggers deletion of your personal data as described in the Privacy Policy.

We may suspend or terminate your access to the Service (with or without notice) if you materially breach these Terms, if we reasonably believe your account is being used unlawfully, or if we are required to do so by law. Upon termination, the licences granted to you cease immediately; Sections 6, 7, 11, 12, 13, 15, and 16 survive termination.

15. Governing law and jurisdiction

These Terms are governed by the laws of the Kingdom of Spain, without regard to conflict-of-laws principles. Any dispute arising out of or in connection with these Terms is subject to the exclusive jurisdiction of the courts of the city of Barcelona, Spain.

If you use the Service as a consumer, this clause does not deprive you of the protection granted by mandatory provisions of the law of the country in which you have your habitual residence, nor of your right to bring proceedings in the courts of that country under Regulation (EU) No 1215/2012.

16. Force majeure

We are not liable for any failure or delay in performing our obligations under these Terms to the extent it results from causes beyond our reasonable control, including strikes, telecommunications or internet failures, third-party provider outages, changes in law, government action, natural disasters, war, or public health emergencies.

17. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will (a) update the "Last updated" date at the top of this page, and (b) notify registered users by email at least fifteen (15) days before the change takes effect. Non-material changes take effect on publication. If you disagree with a change, you must stop using the Service and delete your account before the change takes effect; otherwise your continued use constitutes acceptance of the updated Terms.

18. Miscellaneous

Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and UniMate concerning the Service and supersede any prior agreement on the same subject.

Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.

No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganisation, or sale of assets.

Language. These Terms are drafted in English. Any translation is provided for convenience; in case of conflict, the English version prevails, save where mandatory Spanish law requires otherwise.
